Terms of Use

Effective Date: August 29, 2026

These Terms of Use govern your access to and use of SeedAuth, a mobile security utility application operated by Matt Crypto (“Company,” “we,” “us,” or “our”). By downloading, accessing, or using SeedAuth (the “App”), you agree to these Terms of Use. If you do not agree, do not use the App.

1. Eligibility

You must be legally able to enter into a binding agreement in your jurisdiction to use the App. By using the App, you represent that:

• you are at least the age of majority in your jurisdiction, or you have permission from a parent or legal guardian;
• you are not prohibited from using the App under applicable law; and
• you will use the App only in compliance with these Terms of Use and applicable law.

2. Description of the App

SeedAuth is a two-factor authentication (2FA) utility that generates time-based and counter-based one-time passwords (TOTP/HOTP) on your device. Depending on the version of the App and your settings, features may include:

• adding accounts by scanning provisioning QR codes, importing Google Authenticator export QR codes, or manual entry;
• encrypted local storage of authenticator secrets protected by device secure hardware and biometrics;
• optional binding of the encrypted vault to the device’s Seed Vault so that a backup can be unlocked on a device restored from the same seed phrase;
• user-initiated encrypted backup files protected by a seed-derived key and/or a password; and
• security settings such as auto-lock, clipboard clearing, and screenshot blocking.

We may add, remove, change, suspend, or limit features at any time.

3. Your Security Responsibilities

The App is a local security tool. We do not operate servers, hold copies of your secrets, or have any ability to recover your data. You are solely responsible for:

• maintaining the security of your device, device credentials, and biometrics;
• safeguarding your seed phrase — anyone with your seed phrase and your backup file can regenerate your 2FA codes;
• creating and safely storing encrypted backup files, and remembering any backup password you set;
• keeping alternative recovery methods (such as service-provided recovery codes) for accounts you protect with 2FA; and
• any consequences of deleting the vault, uninstalling the App, or losing your device without a usable backup.

We are not responsible for losses caused by lost seed phrases, forgotten backup passwords, deleted vaults, compromised devices, malware, unauthorized device access, or user error.

4. Lockout Risk

Two-factor authentication intentionally restricts access to your accounts. If you lose access to the App and have no backup or alternative recovery method for a protected account, you may be locked out of that account. By using the App you acknowledge this risk and agree that the Company is not liable for lost access to third-party accounts.

5. Seed Vault Integration

Seed Vault features are provided by the device operating system and are optional. By enabling seed recovery you acknowledge that:

• the App requests cryptographic signatures from the Seed Vault; approving those requests is your decision;
• the recovery mechanism depends on the Seed Vault producing deterministic signatures, which the App verifies at setup;
• the App never receives your seed phrase or private keys; and
• the availability and behavior of Seed Vault features are controlled by the device manufacturer and may change.

6. Third-Party Services and Accounts

The App generates codes for accounts you hold with third parties. Those third parties are solely responsible for their own services, including whether they accept generated codes. The App is not affiliated with, endorsed by, or sponsored by any third-party service whose accounts you protect, and their trademarks belong to their respective owners.

7. License

Subject to these Terms of Use, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control. The App’s source code is separately made available under the MIT License at https://github.com/mattcrypto12/SeedAuth; that license governs the source code, and these Terms of Use govern your use of the distributed App.

8. Prohibited Conduct

You agree not to:

• use the App in violation of applicable law;
• attempt to extract another person’s secrets from a device you do not own or control;
• misrepresent the App, or distribute modified versions in a manner likely to confuse users about their origin; or
• interfere with security features of the App or the device.

9. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, OR THAT GENERATED CODES WILL BE ACCEPTED BY ANY THIRD-PARTY SERVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, ACCOUNTS, OR ACCESS TO THIRD-PARTY SERVICES, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP, IF ANY, AND (B) TEN U.S. DOLLARS (US$10).

11. Indemnification

You agree to indemnify and hold harmless the Company from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the App or your violation of these Terms of Use.

12. Changes to the App or Terms

We may update the App and these Terms of Use from time to time. Material changes will be reflected by updating the Effective Date above. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms of Use.

13. Termination

You may stop using the App at any time by deleting your vault and uninstalling it. We may terminate or suspend availability of the App at any time. Sections that by their nature should survive termination (including Sections 3, 4, 9, 10, 11, and 14) survive.

14. Governing Law

These Terms of Use are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles, except to the extent superseded by applicable law.
