Terms of Use

Effective Date: August 31, 2026

These Terms of Use govern your access to and use of Cadence, a mobile payments utility operated by Matt Crypto (“Company,” “we,” “us,” or “our”). By downloading, accessing, or using Cadence (the “App”), you agree to these Terms of Use. If you do not agree, do not use the App.

1. Eligibility

You must be legally able to enter into a binding agreement in your jurisdiction to use the App. By using the App, you represent that:

• you are at least the age of majority in your jurisdiction, or you have permission from a parent or legal guardian;
• you are not prohibited from using the App under applicable law; and
• you will use the App only in compliance with these Terms of Use and applicable law.

2. Description of the App

Cadence is a non-custodial tool for scheduling recurring Solana payments (“standing orders”). Depending on the version of the App and your settings, features may include:

• saving payees (public addresses with labels);
• creating recurring payments in SOL or supported SPL tokens on a chosen schedule;
• preparing each due payment and submitting it to the Solana network after you approve and sign it with your device’s Seed Vault;
• reminders for due payments; and
• payment history and cluster/RPC selection.

The App is non-custodial: it holds no private keys, has no delegated spending authority, and cannot move funds without your per-payment Seed Vault signature. We may add, remove, change, suspend, or limit features at any time.

3. Non-Custodial; You Authorize Every Payment

You acknowledge and agree that:

• the App never takes custody of your funds or keys and cannot pay anyone on your behalf without a fresh signature you authorize with your Seed Vault;
• you are solely responsible for reviewing each payment (amount, asset, and recipient) on the confirmation screen before approving it;
• because approval requires your presence, the App cannot guarantee that a payment will be made at any particular time (for example, if your device is off, offline, or you do not approve it); and
• you are responsible for maintaining sufficient balance and for any network fees.

4. Blockchain Transactions Are Irreversible

Payments you approve are broadcast to a public blockchain and, once confirmed, are generally irreversible. You acknowledge and agree that:

• you are responsible for the accuracy of payees and amounts you configure;
• transactions may fail, be delayed, or remain unconfirmed due to network conditions or the RPC endpoint you select; and
• except where required by law, completed transactions are final and non-refundable.

5. Recipients and Third-Party Services

Payments are sent only to payees you save in the App. You are responsible for verifying that a saved payee address is correct and controlled by the intended recipient. The App queries a Solana RPC endpoint that you configure; RPC providers, wallets, and any recipients are third parties with their own terms, and we are not responsible for their conduct, availability, or accuracy. Trademarks referenced in payee labels or elsewhere belong to their respective owners.

6. License

Subject to these Terms of Use, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control. The App’s source code is separately made available under the MIT License at https://github.com/mattcrypto12/Cadence; that license governs the source code, and these Terms of Use govern your use of the distributed App.

7. Prohibited Conduct

You agree not to:

• use the App in violation of applicable law, including sanctions, anti-money-laundering, or payments regulations;
• use the App to send funds you are not authorized to send; or
• distribute modified versions in a manner likely to confuse users about their origin.

8. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED, THAT ANY PAYMENT WILL BE SUCCESSFULLY DELIVERED OR CONFIRMED, OR THAT SCHEDULED PAYMENTS WILL EXECUTE AT ANY PARTICULAR TIME.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF FUNDS, PROFITS, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP, INCLUDING MISDIRECTED, FAILED, DELAYED, OR DUPLICATE PAYMENTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP, IF ANY, AND (B) TEN U.S. DOLLARS (US$10).

10. Indemnification

You agree to indemnify and hold harmless the Company from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the App or your violation of these Terms of Use.

11. Changes to the App or Terms

We may update the App and these Terms of Use from time to time. Material changes will be reflected by updating the Effective Date above. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms of Use.

12. Termination

You may stop using the App at any time by uninstalling it. We may terminate or suspend availability of the App at any time. Sections that by their nature should survive termination (including Sections 3, 4, 8, 9, and 10) survive.

13. Governing Law

These Terms of Use are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles, except to the extent superseded by applicable law.
